A counterparty can appear credible while important facts remain incomplete, inconsistent or difficult to verify. A proportionate review is designed around the decision being made: who is behind the counterparty, whether material representations withstand scrutiny, what relevant history exists and which unresolved issues could change the client’s view of the proposed relationship.
Start with the decision, not a generic checklist
The useful question is rarely simply whether a company exists. The scope should reflect the value and nature of the proposed commitment, the representations being relied upon and the consequences if those representations prove incomplete or inaccurate.
Ownership, control and connected parties
Research may examine corporate ownership, directors, controllers, associated entities, historic appointments and relationships that are material to the transaction. Complex structures are not inherently adverse, but they may require further context before a client can understand who is actually involved.
Track record and material claims
Experience, previous ventures, professional history, stated relationships and commercial achievements can often be tested against independent records and other appropriate sources. The purpose is to distinguish verified facts from unsupported assertions or matters that remain unresolved.
Reputation, disputes and adverse context
Relevant litigation, insolvency history, regulatory material, public allegations and reputational issues may require examination in context. An adverse reference is not automatically proof of misconduct; source quality, chronology, outcome and relevance to the present decision all matter.
International counterparties
Cross-border enquiries may require different corporate registries, languages, court systems and source availability. A sensible first stage identifies which jurisdictions and entities matter before resources are committed to deeper enquiries.
A proportionate first-stage review may consider
- Identity and corporate existence.
- Ownership, control and material connected entities.
- Director and principal background relevant to the transaction.
- Track record and independently verifiable commercial claims.
- Relevant litigation, insolvency, regulatory or reputational context.
- Online identity, domains and digital indicators where material.
- Information gaps, contradictions and issues requiring targeted follow-up.
