Understand the counterparty structure
The contracting entity may be newly incorporated or have little standalone history. Directors, shareholders, parent companies, associated SPVs and material connected parties can therefore be important to understanding the commercial reality.
Test project and development claims
Previous developments, stated partnerships, financing relationships and project outcomes can often be checked against planning, corporate, property, litigation and other appropriate sources.
Disputes, insolvency and failed ventures
Past disputes or insolvencies are not automatically disqualifying, particularly in property development. Their relevance depends on chronology, outcome, recurrence and what they indicate about the representations being made now.
Ownership and control changes
Frequent changes in directors, shareholders, registered offices or project companies may have legitimate explanations but can warrant context where a substantial commitment is proposed.
Focus resources on the material unknowns
A first-stage review can identify whether deeper jurisdictional, asset, litigation or human-source enquiries are justified before a client commits to a much wider exercise.
